1. ACCEPTANCE OF TERMS

Welcome to Elite Source Evaluators ("ESE," "we," "us," or "our"). By accessing or using our website, services, or purchasing our products, you ("User," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our services.

2. DESCRIPTION OF SERVICES

ESE provides verified combine showcase data and video recordings of Division I athletes to college recruiters, universities, and other authorized parties. Our services include but are not limited to:

Collection and verification of athletic performance data from showcase combines

Professional video recordings of athletic performances

Secure distribution of verified data and videos to authorized recipients

Platform access for viewing and analyzing athlete performance metrics

3. USER ELIGIBILITY AND ACCOUNTS

3.1 Eligibility

You must be at least 13 years of age to use our services. If you are under 13, you may only use our services with the involvement and consent of a parent or legal guardian.

3.2 Account Registration

Some services may require account registration. You agree to:

Provide accurate, current, and complete information

Maintain the security of your account credentials

Notify us immediately of any unauthorized use

Accept responsibility for all activities under your account

4. ATHLETE DATA AND CONSENT

4.1 Athlete Consent

All athletes whose data and videos are distributed through ESE must provide written consent for the collection, verification, and distribution of their performance data and recordings.

4.2 Data Accuracy

While ESE takes reasonable measures to verify the accuracy of combine showcase data, we do not guarantee that all data is error-free. Users are encouraged to independently verify critical information.

4.3 Use Restrictions

Athletic data and videos may only be used for legitimate recruiting and evaluation purposes. Unauthorized distribution, reproduction, or commercial use is strictly prohibited.

5. INTELLECTUAL PROPERTY RIGHTS

5.1 Ownership

All content on the ESE platform, including but not limited to text, graphics, logos, videos, data compilations, and software, is the property of ESE or its content suppliers and is protected by United States and international copyright laws.

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use our services for their intended purpose. This license does not include:

Resale or commercial use of our services or content

Collection or use of product listings or descriptions

Derivative use of our services or content

Downloading or copying of account information

Use of data mining, robots, or similar data gathering tools

6. PAYMENT AND FEES

6.1 Pricing

All prices are in U.S. Dollars and are subject to change without notice. Current pricing will be clearly displayed at the time of purchase.

6.2 Payment Terms

Payment is required at the time of purchase unless otherwise agreed upon in writing. We accept major credit cards, debit cards, and other payment methods as indicated on our platform.

6.3 Refund Policy

All sales are final unless otherwise required by law or stated in a separate written agreement. Refunds may be issued at our sole discretion for defective services or products.

7. PRIVACY AND DATA PROTECTION

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We are committed to protecting your personal information and complying with applicable data protection laws.

8. USER CONDUCT

You agree not to:

Use our services for any unlawful purpose

Impersonate any person or entity

Interfere with or disrupt our services or servers

Attempt to gain unauthorized access to our systems

Upload or transmit viruses or malicious code

Violate any applicable laws or regulations

Harass, abuse, or harm another person

9. DISCLAIMER OF WARRANTIES

ESE PROVIDES ITS SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability and fitness for a particular purpose

Warranties that services will be uninterrupted, timely, secure, or error-free

Warranties regarding the accuracy or reliability of any information obtained through our services

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ESE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Your access to or use of or inability to access or use our services

Any conduct or content of any third party on our services

Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL ESE'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO ESE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless ESE, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with:

Your access to or use of our services

Your violation of these Terms

Your violation of any third-party rights

Any content you submit or transmit through our services

12. THIRD-PARTY LINKS AND SERVICES

Our services may contain links to third-party websites or services that are not owned or controlled by ESE. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

13. MODIFICATIONS TO SERVICES AND TERMS

13.1 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of our services at any time without notice.

13.2 Terms Modifications

We may revise these Terms from time to time. The most current version will always be posted on our website with the "Last Updated" date. Your continued use of our services after any changes constitutes acceptance of the new Terms.

14. TERMINATION

14.1 By ESE

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including breach of these Terms.

14.2 By User

You may terminate your account at any time by contacting us or ceasing to use our services.

14.3 Effect of Termination

Upon termination, your right to use our services will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

15. GOVERNING LAW AND DISPUTE RESOLUTION

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

15.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for violations of intellectual property rights.

15.3 Venue

Any arbitration or legal proceeding shall take place in Harris County, Texas.

16. MISCELLANEOUS

16.1 Entire Agreement

These Terms constitute the entire agreement between you and ESE regarding our services and supersede all prior agreements.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

16.5 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and ESE.
